AGREEMENT FOR HEALTH AND RESORT SERVICES No._______
This Agreement is a public offer and applies to individuals purchasing services from Medical and Wellness Center “Dolina Altaya” LLC

Medical and Wellness Center “Dolina Altaya” Limited Liability Company, represented by the General Director, Ms Marina Pavlovna Ardatova, acting on the basis of the Charter, hereinafter referred to as the “Sanatorium”, on the one hand, and a citizen: passport series ___, No.____ issued on ____ by _____, residing at the address:____________, hereinafter referred to as the “Customer”, on the other hand, jointly hereinafter referred to as the “Parties”, have concluded this Agreement, (hereinafter referred to as the “Agreement”), as follows:
- SUBJECT OF THE AGREEMENT
1.1. Pursuant to this Agreement, the Sanatorium shall provide the Customer with health and resort treatment (wellness) services, including a complex of medical and wellness services according to the Sanatorium's specialty, for the period from ___________ 20___ to ___________ 20___. Room category: _______________.Services are specified in the Treatment Package (Treatment Packages): __________________________________.1.2. The Treatment Package for health and resort treatment (wellness) is a strict reporting form of the approved format, indicating the sanatorium organization, arrival date, duration of stay, departure date, and the cost of services provided.1.3. This Agreement shall be considered concluded from the moment of acceptance of the invoice for prepayment (from the moment of prepayment against the invoice)1.4. Health and resort treatment services as specified in the Treatment Package shall consist of a specified number of bed-days (from 14 to 21 days for a standard health and resort treatment package, from 5 days for a wellness package, and from 1 day for a basic wellness package) and shall constitute a comprehensive, indivisible product. A bed-day includes: accommodation, treatment, meals, cultural and leisure activities / accommodation, meals, cultural and leisure activities. 1.5. The price of the Treatment Package shall be calculated based on the current prices at the time of check-in to the Sanatorium, according to the number of bed-days. If the Treatment Package covers different pricing periods, no recalculation shall be made. 1.6. The current prices according to the price list are indicated on the Sanatorium's website - https://www.dolinaaltai.ru. Prices for individuals whose Treatment Packages are paid by an Organization (Enterprise, Insurance Company) shall be determined by an Agreement with the said Organization.
1.7. A health and resort service, as specified in the Treatment Package, cannot be divided into parts. The cost of accommodation, treatment, meals, cultural and leisure activities cannot be separately allocated from the cost of a bed-day and the cost of the Treatment Package as a whole.
- RIGHTS AND RESPONSIBILITIES OF THE PARTIES
2.1. The Sanatorium has the right to:2.1.1. Set prices for Treatment Packages (services to be provided) taking into account increases in current costs and consumer prices.2.1.2. Provide additional paid services (including medical, fitness and wellness services not included in the Treatment Package price) at the Sanatorium's current prices as set forth on the website https://www.dolinaaltai.ru.2.1.3. Not extend the validity period of the Treatment Package and not refund the Customer for the days of late arrival or early departure without a valid reason.2.1.4. Refuse the Customer health and resort treatment (provision of services) in the absence of the required documents, if there are contraindications for the said health and resort treatment, or in case of violation of the Rules in force at the Sanatorium.2.1.5. Require the Customer to comply with the Rules in force at the Sanatorium.2.2. The Sanatorium undertakes to:2.2.1. Provide the person arriving at the Sanatorium for health and resort treatment under the Treatment Package with accommodation for the entire period of stay specified in the Treatment Package, in a room of the appropriate category, a set of medical (wellness) services as prescribed by the attending physician, accommodation, meals, and leisure activities in accordance with the paid Treatment Package.2.2.2. Provide treatment (wellness) in accordance with the current legislation of the Russian Federation, including medical recommendations and approved methods for the treatment of certain diseases in a sanatorium setting.2.2.3. Ensure the issuance of a detachable tear-off coupon for the Treatment Package Form.2.2.4. Specify on the Treatment Package Form the list of main requirements for the person arriving under the Treatment Package and information about the conditions of stay at the Sanatorium.2.2.5. If possible, reschedule the arrival date under the Treatment Package based on the Customer’s written request.2.3 The Customer has the right to:2.3.1. Purchase a Treatment Package in accordance with the terms and conditions of this Agreement.2.3.2. Receive services in accordance with the paid Treatment Package.2.3.3. Receive additional services not included in the Treatment Package price at the Sanatorium’s current rates.2.4. The Customer undertakes to:2.4.1. Pay for the Treatment Package in accordance with the terms and conditions of this Agreement (including through a third party).2.4.2. Accept the purchased Treatment Package in the quantity and type specified in this Agreement.2.4.3. Inform the Sanatorium of any loss of the Treatment Package.2.4.4. Coordinate the arrival/departure dates with the Sanatorium.2.4.5. Have all necessary documents for accommodation at the Sanatorium.2.4.6. Comply with the Rules in force at the Sanatorium.
2.4.7. In case of material damage to the Sanatorium, compensate for it before the end of the stay.
- COST OF SERVICES AND PAYMENT TERMS
3.1. The cost of the services of the Service Provider shall be determined based on the price list in effect on the date of service provision, published on the official website – https://www.dolinaaltai.ru, and amounts to __________________ rubles, VAT not included.3.2. The Customer shall pay for the health and resort treatment as per the Treatment Package in the following order:An advance payment of 20% of the total cost within 3 (three) banking days via non-cash transfer to the Sanatorium’s bank account, based on the invoice issued by the Sanatorium;The remaining 80% of the total cost of the service shall be paid to the Service Provider`s cash desk or transferred to the Service Provider`s bank account before the start of the service provision. If the Treatment Package is paid for by a third party, the Customer shall specify in the payment documents for whom the payment is made. 3.3. After the Customer has paid for the services, their cost is not subject to change.3.4. Proof of payment is confirmed by the cash receipt issued to the Customer who made the payment. The receipt will not be reissued or duplicated.3.5. If the order is canceled more than two days before the scheduled arrival date at the sanatorium, the Customer will be refunded the cost of the order minus the actually incurred expenses*, excluding the cost of one night (one day) of the reserved accommodation.3.6. If the order is canceled less than two days before the scheduled arrival date at the Sanatorium, the Customer will be refunded the cost of the order minus the actually incurred expenses*, including the cost of one night (one day) of the reserved accommodation.3.7. In case of the Customer's early departure from the Sanatorium, the Service Provider has the right to withhold from the Customer the actually incurred expenses* in the amount of the cost of one day of stay (one day).3.8. The refund of funds shall be made proportionally to the amounts paid, both by non-cash and cash methods, within 10 (ten) calendar days from the moment the Service Provider receives the full set of documents in accordance with the Regulations on the “Procedure for Refunding Funds at the Sanatorium”.3.9. Note: *Actually incurred expenses: the cost of one day of stay (one day of reserved accommodation) according to the service organization procedure.
- LIABILITY OF THE PARTIES
4.1. The Parties shall be liable for failure to fulfill or improper fulfillment of obligations under this Agreement in accordance with the current legislation of the Russian Federation and the Rules of Stay in force at the Sanatorium.4.2. In case of non-payment (late payment) of the invoice, the booking shall be cancelled within 20 calendar days without additional notice to the Customer.4.3. The Parties shall not be liable to each other for possible violations and actions that occur through no fault of theirs, namely:- for cancellation or change of departure time of vehicles, trains, flights and related changes to the Order Program. In this case, the carrier shall be liable to the clients;- for refusal to accommodate the Customer, make a reservation, provide services in part and (or) in full by decision of authorized bodies and (or) officials;
- for loss and damage to baggage, etc.
- ADDITIONAL TERMS AND CONDITIONS
5.1. The Treatment Package Form is valid only for the person specified therein.5.2. All amendments and additions to this Agreement shall be made in writing, in the form of supplementary agreements (addenda) signed by both Parties, and shall be considered an integral part of this Agreement.5.3. Termination of the Agreement shall be permitted in accordance with the current legislation of the Russian Federation. Termination or modification of the Agreement does not release the Parties from obligations under the parts of the Agreement already performed by at least one Party.5.4. All disputes arising from the execution of this Agreement shall be resolved through negotiations between the Parties. If no agreement is reached, the disputes shall be submitted to a court in accordance with the current legislation of the Russian Federation.5.5. A Customer arriving late, if the change in arrival date was not agreed upon with the Service Provider, will be accepted without extending the duration of the stay to compensate for the delay and without recalculating the cost of the Treatment Package (or other services). In this case, the cost of unused days under the Treatment Package will not be refunded.5.6. If the Order is canceled more than 2 days before the scheduled arrival date at the Sanatorium, the Customer will be refunded the cost of the Order minus the actually incurred expenses*, excluding the cost of one night (one bed-day) of the reserved accommodation under the Order. 5.7. If the Order is canceled less than 2 days before the scheduled arrival date at the Sanatorium, the Customer will be refunded the cost of the Order minus the actually incurred expenses*, including the cost of one night (one bed-day) of the reserved accommodation under the Order.5.8. In case of the Customer's early departure from the Sanatorium, the Sanatorium has the right to withhold from the Customer the amount of incurred expenses:5.8.1. In the amount of the actually incurred expenses*, including the cost of one night of stay (the cost of one bed-day) at the Sanatorium—representing the Sanatorium's actually incurred expenses according to the service organization procedure.5.9. Payment for additional services provided by the Sanatorium shall be made separately according to the current price lists.5.10. This Agreement is made in two original copies, identical in text and having the same legal force. One copy of this Agreement shall be kept by the Sanatorium, the second - by the Customer.5.11. Relations between the Parties not regulated by this Agreement shall be governed by the current legislation of the Russian Federation, the Rules of Stay in the Sanatorium "Altai Valley"The current Rules of Stay in the sanatorium "Altai Valley" shall be brought to the attention of the Customer by posting on the official website of the Sanatorium: http:// www.dolinaaltai.ru /.
5.12. This Agreement shall enter into force from the moment specified in paragraph 1.3. of the Agreement and shall be valid until “___” _________, and in terms of the obligations not fulfilled by the Parties until their full fulfillment.
